Terms of Service

1. Service Description
Definitions. "Tool" means any capability listed, connected, called, or executed through the Service, including functions, data services, actions, AI-powered tools, workflows, and autonomous agents. "Agent" means a Tool that can autonomously plan, decide, or select actions in pursuit of a goal, as distinct from a deterministic function or a single API action. Where these Terms refer to "agents" as a category of thing offered through the Service, that reference means Tools generally unless the surrounding text specifically describes autonomous behavior.
Runcept ("Service", "we", "us") is an API gateway and marketplace for AI Tools, operated by CJ Studio LLC. Consumers call registered Tools through a single unified REST API (POST /api/v1/run) and pay from a dollar balance, per successful run. Builders register Tools — either a self-hosted HTTP endpoint or a Tool that runs on Runcept's own infrastructure — set a price per run, and earn a share of what consumers pay.
The Service is provided "as is." AI-powered Tool output may be generated in whole or in part by artificial intelligence and may contain inaccuracies, errors, or unexpected results. Deterministic Tool output (for example, data transformations, lookups, or other non-AI functions) is not AI-generated but may still contain errors or become unavailable.
2. Eligibility
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use the Service. By creating an account, you represent that all registration information you provide is truthful and accurate, and you agree to maintain its accuracy.
3. Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and API keys. You may not share your account or API keys with others, or create multiple accounts to evade rate limits or billing. You are responsible for all activity that occurs under your account, including all Tool runs initiated with your API keys.
4. Acceptable Use
You agree not to:
- Register or publish a Tool you do not have the right to operate, including Tools that wrap a third-party API in violation of that provider's terms.
- Use the Service to build, publish, or call Tools that create illegal, harmful, deceptive, defamatory, or infringing content.
- Use automated tools, bots, or scripts to access or interact with the Service outside of the documented API (except as explicitly authorized).
- Attempt to circumvent metering, credit deduction, or billing, or exploit bugs in the run-pricing or payout system.
- Misrepresent a Tool's capabilities, pricing, or the identity of the builder publishing it.
- Use the Service to generate content that promotes violence, hate speech, harassment, or illegal activities.
- Resell or redistribute access to a third party's published Tool outside of the Service's own API and marketplace.
5. Billing, Credits & Payouts
- Dollar balance: Runcept bills against a dollar balance you top up in advance — there are no subscriptions and no separate credit-conversion unit. Each successful Tool run deducts that Tool's listed price from your balance.
- Failed runs: If a Tool run fails to complete, the corresponding charge is automatically refunded to your balance.
- Top-ups: Balance top-ups are processed via Stripe. See Pricing for current top-up amounts.
- Builder payouts: Builders receive 80% of the price charged to consumers for each successful run of their Tool; the remaining 20% is Runcept's platform fee. Payouts are made monthly via PayPal to the email address you provide in Settings.
- Refund policy: Balance already spent on successfully completed runs is non-refundable. For billing disputes, contact support@runcept.com.
6. Content Ownership & License
- Your inputs: You retain all ownership rights to the input data you submit to any Tool.
- Tool outputs: As a consumer, you receive a non-exclusive, worldwide, perpetual license to use, modify, and distribute the output of any Tool run you paid for, for any lawful purpose.
- Builder-published Tools: Builders retain ownership of their Tool's code, configuration, and branding, and grant Runcept a license to host, execute, meter, and list that Tool on the marketplace for as long as it remains published.
- Non-uniqueness: AI-powered Tool output may not be unique. Similar inputs may produce similar or identical outputs for different users. (This does not apply to deterministic Tools, which are expected to produce identical output for identical input.)
7. AI-Powered Tool Output Disclaimers
- AI-powered Tool output may be generated in whole or in part by artificial intelligence and may contain factual inaccuracies or errors.
- You are solely responsible for reviewing Tool output before relying on it, publishing it, or using it in a downstream system.
- We do not guarantee that any Tool's output will be fit for a particular purpose, or that it complies with regulations applicable to your use case or jurisdiction.
8. Third-Party Services
The Service relies on third-party providers to process your data, including LLM providers (for Tools that call an LLM), payment processors, and cloud infrastructure. By using the Service, you acknowledge that your data may be processed by these providers in accordance with their own terms and privacy policies. See our Privacy Policy for a full list.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CJ STUDIO LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless CJ Studio LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, any Tool you publish, your violation of these Terms, or your violation of any third-party rights.
11. Termination
We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or abuse of the Service. We may also suspend or unpublish an individual Tool that violates these Terms without terminating the underlying account. You may delete your account at any time through your account settings. Upon account deletion, all your published Tools, API keys, run history, and remaining balance are permanently deleted.
12. Modifications
We reserve the right to update these Terms at any time. Material changes will be communicated via the Service or email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
